Shareholder Disputes

Do not let disputes escalate. Get expert specialist legal advice, contact Keith and find out your legal options. By instructing a barrister like Keith directly instead of going to a solicitor first you can save up to 50% on your legal bill.

Keith is an Employment Lawyer and commercial Barrister. One of his specialisms is in advising Shareholders and Director-Shareholders on their duties and responsibilities – using shareholders’ agreements and other mechanisms to minimise the risk of having to resolve a dispute or a difference in priorities by going to Court.

Shareholder disputes and disagreements unfortunately do happen, probably more frequently than they are supposed to and when these situations arise between shareholders and director-shareholders, legal advice should be sought immediately.

It is imperative to establish what is occurring early on as it can help towards a possible resolution and costs can be mitigated but if the dispute escalates, it can unfortunately, lead to litigation and increased costs. The key is to take advice as soon as there is a problem.

Keith has a particular interest in disputes involving director-shareholders where his knowledge of minority shareholder protection, directors’ fiduciary duties, share structures and commercial practices provide real added value to clients. As well as being instructed to advise and represent in these cases he is often instructed to represent employers or employees in without prejudice negotiations.

Keith, himself, has extensive experience as a shareholder-director in several multi-million pound businesses all of which he brings to bear when advising you.

He advises on:

  • Contracts of employment
  • Contractual notice requirements
  • Restrictive covenants – such as non-compete and non-solicitation clauses.
  • Minority shareholders rights and protection
  • Shareholders’ agreements
  • Share options
  • Options for forcing a sale or exercising rights to be bought out – drag along and tag along clauses.
  • Good leaver and bad leaver provisions
  • General enforcement fo contractual and statutory rights

Keith is known for providing clear, no-nonsense advice on legal and commercial options for bringing disputes to a conclusion and on the strengths of any potential tribunal or court case. Keith has advised on many shareholder disputes for business throughout the UK from his offices in London, Leeds, Manchester, Birmingham and Bristol.

Here’s what some of our clients have had to say about Keith’s service:

“Having consulted Keith on a personal employment issue I cannot recommend him highly enough. Extremely approachable, knowledgable and proactive. Keith resolved my issue very efficiently and favourably on my behalf.”

RP, West Yorkshire

“Keith very quickly grasped an understanding our situation and helped us instigate a course of action that brought matters to a satisfactory conclusion in a timely manner. Throughout our dealings with Keith, I found him to be very professional and he helped put us at ease in a very unfamiliar environment. I believe he acted in our best interests at all times and I do not have any hesitation in recommending him.”

IT, Birkenhead
